Terms of Use

These Terms of Use (the “Terms,” also serving as the End User License Agreement) govern your use of the Nureli app and its services (the “App”). Please read them carefully. By downloading or using the App, you agree to these Terms.

1. Who you're agreeing with

The App is provided by Vordyn Technologies Private Limited (“Vordyn,” “we,” “us”). This agreement is between you and Vordyn only — not with Apple. As described in Section 11, Apple is a third-party beneficiary of these Terms and may enforce them.

2. Eligibility

You must be at least 18 years old to use the App. By using it, you confirm that you are 18 or older and able to enter into this agreement.

3. Important — Nureli is not medical or crisis care

Nureli is a tool for reflection, journaling, and self-understanding. It is not therapy, counseling, medical advice, diagnosis, or treatment, and it is not a crisis or emergency service. It does not replace professional care from a qualified provider. If you are in crisis or may be in danger, contact your local emergency number or a crisis helpline immediately. You are responsible for decisions you make about your own care.

4. Your licence to use the App

We grant you a personal, limited, non-exclusive, non-transferable, revocable licence to use the App on Apple devices you own or control, in accordance with the Usage Rules of the Apple Media Services Terms and Conditions. You may not copy, modify, reverse-engineer, distribute, sell, or create derivative works from the App except as permitted by law.

5. Your content

You own the content you create in the App. You grant us a limited licence to host, store, process, and transmit that content solely to operate the App and provide its features (including generating your reflections through our AI service providers, as described in our Privacy Policy). We do not claim ownership of your content and do not use it to train AI models.

6. Subscriptions, billing, and cancellation

The App offers an auto-renewing subscription (“Nureli Premium”). The following applies to subscriptions purchased through the App Store:

• The subscription title, length, and price are shown in the App at the point of purchase. A free trial may be offered.
• Payment is charged to your Apple ID account at confirmation of purchase.
• The subscription renews automatically for the same period and price unless auto-renew is turned off at least 24 hours before the end of the current period.
• Your account is charged for renewal within 24 hours before the end of the current period.
• You can manage or cancel your subscription, and turn off auto-renew, in your device's Settings > your Apple ID > Subscriptions (App Store account settings) at any time.
• If you buy a subscription during a free trial, any unused portion of the trial is forfeited.
• Refunds are handled by Apple in accordance with Apple's policies; we generally cannot grant refunds directly for App Store purchases.

7. Acceptable use

You agree not to misuse the App, including by attempting to disrupt or compromise it, accessing it unlawfully, or using it to harm others or violate any law.

8. Intellectual property

The App, including its software, design, text, and branding (excluding your own content), is owned by Vordyn and its licensors and protected by intellectual-property laws.

9. Disclaimers

The App is provided “as is” and “as available,” without warranties of any kind, whether express or implied, to the fullest extent permitted by law, including any warranty that the App will be uninterrupted, error-free, or fit for a particular purpose. As stated in Section 3, the App is not professional care.

10. Limitation of liability

To the fullest extent permitted by law, Vordyn will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of data, arising out of or relating to your use of the App. Nothing in these Terms limits liability that cannot be limited under applicable law.

11. Apple-specific terms

For the App obtained through the App Store, you acknowledge and agree that:

• These Terms are between you and Vordyn only, not with Apple, and Apple is not responsible for the App or its content.
• Apple has no obligation to provide maintenance or support for the App; that is Vordyn's responsibility.
• If the App fails to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price (if any); to the maximum extent permitted by law, Apple has no other warranty obligation for the App.
• Vordyn, not Apple, is responsible for addressing any claims relating to the App, including product-liability, legal/regulatory, and consumer-protection claims.
• Vordyn, not Apple, is responsible for investigating and resolving any third-party claim that the App infringes intellectual-property rights.
• You represent that you are not located in a country subject to a U.S. Government embargo or designated as “terrorist-supporting,” and are not on any U.S. Government restricted-parties list.
• Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

12. Termination

You may stop using the App at any time and delete your account. We may suspend or terminate your access if you breach these Terms or to comply with law. Sections that by their nature should survive (such as intellectual property, disclaimers, and limitation of liability) will survive termination.

13. Governing law

These Terms are governed by the laws of India. Subject to applicable law, the courts at New Delhi, India shall have jurisdiction over any disputes arising out of or relating to these Terms or the App.

14. Changes to these Terms

We may update these Terms from time to time. We will post the revised version here with a new effective date and, where appropriate, notify you in the App. Continued use after changes take effect means you accept the updated Terms.
